Terms of Service

1. Agreement to These Terms

By creating a RemindPaisa account or using any part of our service, you agree to be bound by these Terms of Service ("Terms"). If you are using RemindPaisa on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, do not use the service.

These Terms form a legally binding agreement between you and AASHVIRA TECH SOLUTIONS LLP ("RemindPaisa", "we", "our", "us"), a limited liability partnership registered in India.

2. What RemindPaisa Is (and Is Not)

RemindPaisa is a payment reminder and collections management tool. We help you:

• Send WhatsApp, SMS, and Email reminders to your customers for unpaid dues
• Share UPI payment links so your customers can pay you directly
• Track payment status — paid, unpaid, overdue, pending verification
• Manage customer groups, invoice records, and reminder schedules

RemindPaisa is NOT:

• A payment gateway — money never flows through us. Payments go directly from your customer to your UPI / bank account.
• An accounting system or ERP — we do not replace your invoicing or bookkeeping software.
• A WhatsApp marketing platform — we are authorised to send payment reminders only, via pre-approved templates, to customers who have a business relationship with you. We are not a bulk-messaging or promotional tool.
• A debt collection agency — reminders must be polite and factual. Harassment of any kind is prohibited.

3. Eligibility

• You must be at least 18 years old
• You must be operating a legitimate business or professional practice
• RemindPaisa is currently available for businesses operating in India only
• One account per legal entity. Contact us at sales@remindpaisa.com for multi-entity needs.

4. Account Registration

You agree to provide accurate, current, and complete information during registration and to keep it up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at security@remindpaisa.com if you suspect unauthorised access.

5. Acceptable Use

You agree NOT to:

• Send reminders to individuals who have not transacted with your business or who have not opted in to receive messages from you
• Use RemindPaisa for spam, phishing, or any form of unsolicited commercial communication
• Harass, threaten, or intimidate customers through messages sent via RemindPaisa
• Add false or fabricated customer data to the platform
• Ignore or circumvent opt-out requests from your customers
• Violate Meta's WhatsApp Business Policy, WhatsApp Commerce Policy, or TRAI regulations
• Attempt to reverse-engineer, scrape, or disrupt the RemindPaisa platform
• Use the service for any unlawful purpose under Indian law

Violation of this section may result in immediate account suspension without refund.

6. Your Customer Data

You retain full ownership of all customer data you add to RemindPaisa. By adding customer data, you warrant that:

• You have a legitimate business relationship with each customer you add
• You are legally permitted to send payment reminders to those customers via WhatsApp, SMS, and Email
• You have complied with the Digital Personal Data Protection Act 2023 in collecting and using your customers' personal data
• You will honour opt-out requests from your customers promptly

You may export or delete your customer data at any time from within your account. On account deletion, your customer data will be permanently erased within 30 days.

7. WhatsApp Business API — Your Compliance Obligations

RemindPaisa may suspend your WhatsApp channel without notice if Meta flags your account for policy violations. We are not liable for messages blocked or withheld by Meta.

8. Plans, Pricing, and Payment

Software subscription

Plans are billed monthly and auto-renew unless you cancel before the renewal date. Prices are as displayed on the Pricing page and may change with 30 days' written notice. Continued use after a price change constitutes acceptance.

Message wallet

The message wallet is a prepaid credit balance used for WhatsApp, SMS, and Email delivery. Wallet credits are purchased separately from the software plan. Unused credits carry forward indefinitely while your account is active.

Taxes

All prices are exclusive of GST. Applicable GST will be charged at the prevailing rate and shown on your invoice. Provide your GSTIN in account settings to receive GST-compliant invoices.

9. Refund Policy

• Software subscription: If you cancel within 7 days of a billing date and have not used the service in that period, you may request a pro-rated refund by emailing billing@remindpaisa.com. After 7 days, no refund is issued for the current billing period.
• Message wallet top-ups: Unused credits are non-refundable except on account deletion, where remaining credits will be refunded at our discretion after deducting applicable processing fees.
• Dispute window: Billing disputes must be raised within 30 days of the charge. Disputes raised after 30 days will not be considered.

10. Service Availability

We target 99.5% monthly uptime for paid plans and will communicate planned maintenance with at least 48 hours' notice. The Free plan has no uptime guarantee. WhatsApp channel availability depends on Meta's infrastructure and is outside our direct control.

Force Majeure: We are not liable for any failure or delay in providing the service caused by events beyond our reasonable control, including: WhatsApp Business API outages or policy changes by Meta; SMS gateway failures; email delivery disruptions; internet infrastructure outages; natural disasters; acts of government, regulation, or legislation; pandemic; cyberattacks on third-party infrastructure; or any other event outside our direct control. We will notify you as soon as reasonably practicable of any such event and its expected impact on the service.

11. Intellectual Property

The RemindPaisa platform, its design, code, trademarks, and content are owned by AASHVIRA TECH SOLUTIONS LLP. Your business data, customer data, and uploaded assets remain your property. You grant us a limited, non-exclusive licence to process your data solely to provide the service.

12. Disclaimer of Warranties

RemindPaisa is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be error-free, uninterrupted, or that every reminder will be delivered. WhatsApp, SMS, and email delivery depends on third-party infrastructure we do not control.

13. Limitation of Liability

To the maximum extent permitted by applicable law, AASHVIRA TECH SOLUTIONS LLP's total liability to you for any claim arising from or related to these Terms or the service is limited to the total fees you paid to us in the three months immediately preceding the claim. We are not liable for indirect, consequential, incidental, or punitive damages, including but not limited to lost revenue, lost data, or business interruption.

Indemnification: You agree to defend, indemnify, and hold harmless AASHVIRA TECH SOLUTIONS LLP and its partners, officers, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and reasonable legal fees arising from or related to: (a) your use of RemindPaisa in violation of these Terms; (b) customer data you add to the platform; (c) reminders sent on your behalf that violate applicable law, WhatsApp Business Policy, or TRAI regulations; or (d) claims by your customers arising from reminders sent via RemindPaisa. This indemnification obligation survives termination of your account.

14. Termination

You may close your account at any time from the Settings page or by emailing support@remindpaisa.com. We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or engage in illegal activity. On termination, your data will be deleted within 30 days subject to legal retention obligations.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of India, including the Information Technology Act 2000 and its rules, the Consumer Protection Act 2019 (and the Consumer Protection (E-Commerce) Rules 2020), the Digital Personal Data Protection Act 2023, and all other applicable Indian legislation. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

16. Grievance Officer

As required under the Consumer Protection (E-Commerce) Rules 2020 and the Information Technology Act 2000, we have designated a Grievance Officer. If you have a complaint about the service or these Terms, contact our Grievance Officer within 30 days of the issue arising. We will acknowledge within 3 business days and resolve within 30 days where possible.

17. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated by email at least 15 days before they take effect. Continued use after that date constitutes acceptance. If you do not agree, you may close your account before the effective date.
